Registered Agent Requirements in West Virginia: Statute and Address Rules

Whatever the statute's minimums, the practical standard is higher: an agent address is only useful if documents delivered there are actually received and passed along during business hours.

A Permissive Statute with a Built-In Default

The second unusual feature is the drafting. Section 31B-1-108(a) states that a company "may continuously maintain in this state" its office and agent. The word is "may," not the "shall" found in most state statutes.

The permissive wording comes paired with a default rule. Where no agent is maintained, the Secretary of State acts as the company's statutory attorney-in-fact for service of process. An entity relying on that default has no dedicated recipient watching for lawsuits; process lands at a state office, and the company learns of it on the state's timetable rather than its own. Maintaining an actual agent eliminates precisely that exposure, which is why the practical advice does not change despite the statute's phrasing.

Risks of a Personal Address on the Record

Public exposure. The agent's name and address are searchable by anyone in the Secretary of State's database.

Availability burden. Someone must reliably be present at the listed address during business hours. Absence, travel, or illness creates gaps in coverage.

Unannounced visits. Process servers deliver without warning. A personal address on the record means those deliveries happen at a home or private office.

Handling failures. Without dedicated intake procedures, served documents can be overlooked or delayed past their response windows.
